In a $15.6 billion deal that closed Monday, the 2,500-person Gaithersburg company, a longtime showcase of success for the area biotech industry, has become a wholly owned subsidiary of London-based AstraZeneca PLC.
MedImmune submitted a regulatory filing Monday to remove its name and "MEDI" ticker symbol from the Nasdaq stock exchange.
The company has given owners of its convertible shares through July 31 to convert them into cash at slightly increased rates. Those note holders also have a right to require the company to repurchase their notes in full on July 23.
AstraZeneca and MedImmune have formed a jointly staffed steering committee to determine how they will combine their operations.
MedImmune, which recently scored $55.1 million in federal funds to retrofit its FluMist manufacturing plants to be prepared for a flu pandemic, finished Monday at $57.97 a share, up 3 cents from its previous closing price and nearly reaching its 52-week high of $58.02.
AstraZeneca (NYSE: AZN - News), which also saw its share price inch upward Monday by 18 cents to reach $51.90, bought MedImmune in a deal that paid the local company's stockholders $58 a share.
